These Terms of Service ("Terms") govern your use of the Unity CareLink platform and mobile applications. By creating an account or using the Service, you agree to these Terms.
You may use UCL if you are:
Agencies and programs must have an authorized signatory enter into these Terms on behalf of the organization.

You may not share your account credentials, create an account under a false identity, or create an account for another person without their consent.

We reserve the right to remove content and suspend or terminate accounts that violate these rules.
Families and DSPs: UCL is provided free of charge to families and individual DSPs. We commit to never charging families or DSPs for core Service access. No ads. No data sales. No paid tiers for these users.
Agencies and Programs: Agencies and programs access UCL through tiered subscriptions based on organization size. Pricing, billing terms, and Service Level Agreements are specified in each agency's Order Form or Agency Agreement, which becomes part of these Terms.
Agency subscriptions renew automatically unless canceled before the renewal date. Refunds are provided as specified in the Agency Agreement.
You retain ownership of content you upload to UCL (shift logs, photos, voice notes, messages, etc.).
By uploading content, you grant UCL a limited license to store, display, and transmit that content solely to provide the Service to you and your authorized care team. This license ends when you delete the content or close your account, except where legal or agency retention requirements apply.
You represent that you have the right to upload content you share on UCL and that doing so does not violate any law or third-party rights.
UCL owns or licenses the Service, including software, design, logos, trademarks, and content we create. You may not copy, modify, distribute, or use our content outside of normal Service use without written permission.
The "Unity CareLink" name, "UCL" abbreviation, constellation logo, and related marks are trademarks of Unity CareLink LLC.
We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. We may perform scheduled maintenance and will provide advance notice when possible.
For agency subscribers, specific uptime commitments are set in the Agency Agreement.
By You: You may close your account at any time through Settings → Account → Close Account, or by emailing [email protected].
By Us: We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for UCL, or if we're required to by law. Where possible, we will provide notice and an opportunity to resolve issues.
For agency subscriptions, termination terms are specified in the Agency Agreement.
After Termination: Upon termination, you lose access to the Service. Your content is handled according to our Privacy Policy and any applicable agency retention policies.
UCL IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL, CLINICAL, OR LEGAL ADVICE. The Service is a care coordination tool, not a diagnostic or treatment platform. Never delay or disregard professional medical advice because of something you read or saw on UCL.
In an emergency, call 911 or your local emergency services immediately. Do not rely on UCL for emergency communication.
The Service is provided "as is" and "as available." To the fullest extent allowed by law, UCL disclaims all warranties, including fitness for a particular purpose, merchantability, and non-infringement.
To the fullest extent allowed by law, Unity CareLink LLC, its officers, employees, and contractors will not be liable for:
Some jurisdictions do not allow these limitations. In those places, our liability is limited to the greatest extent permitted.
You agree to defend and indemnify Unity CareLink LLC from claims arising out of your use of the Service, your content, or your violation of these Terms, except where prohibited by law.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Any dispute will be resolved in the state or federal courts located in Ventura County, California, and you consent to the jurisdiction of those courts.
Before filing any formal dispute, you agree to contact us at [email protected] and attempt to resolve the matter in good faith for at least 30 days.
We may update these Terms from time to time. Material changes will be communicated by email to account holders at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance.
Program Description: Unity CareLink LLC operates an SMS messaging program to deliver two-factor authentication codes, account security notifications, and care coordination alerts to registered users.
Message Frequency: Message frequency varies based on your account activity. Most users receive SMS messages only when logging in or when account security events occur.
Message & Data Rates: Message and data rates may apply. Charges are billed by your mobile carrier. Unity CareLink LLC is not responsible for carrier charges.
How to Opt Out: Reply STOP to any SMS message at any time to cancel. You will receive one confirmation message and will not receive further SMS messages. Note that opting out of SMS may prevent you from using two-factor authentication.
Supported Carriers: Compatible with all major U.S. carriers including AT&T, T-Mobile, Verizon, and others. Carrier support may vary.
No Guarantee of Delivery: Unity CareLink LLC is not liable for delayed or undelivered SMS messages.
